As a non-profit making organisation, no financial return, whether in the form of interest or a distribution of profits, will be made to its members.
The member will receive one share only and will be entitled to one vote per resolution raised at any general meeting (members under the age of 16 cannot vote).
The share issued to the member has a nominal value of £1 each and may not be withdrawn or transferred to any other person, firm or corporate body.
No member may hold more than one share in the Society either individually or jointly.
A corporate body or firm that is a member may by resolution of its governing body appoint any person it thinks fit to be its deputy. The deputy will be entitled to exercise all rights of membership on behalf of the corporate body including seeking election as an officer and speaking and voting at a general meeting.
If a member ceases to be a member, the share registered in the name of that member is to be cancelled and the amount subscribed for the share is to become the property of the FGR Trust.
A member shall cease to be a member if they:
Any contribution made (whether in the form of the annual subscription or donations of money) is not a financial investment, and cannot be refunded to the member once the contribution has been made.
Any contribution received by the FGR Trust from a member will be held in common for the benefit of all members and will be used to meet the objectives of the FGR Trust.
fail, after a written demand, to pay their annual subscription;
die (in the case of an individual);
cease to exist (in the case of corporate membership);
are the nominee of an unincorporated Society or firm which is wound up or dissolved;
are the nominee of an unincorporated organisation or firm which removes or replaces them as its nominee;
are not the holder of a fully paid up share;
are expelled under these rules; or
withdraw from membership by giving at least one month’s written notice to the secretary.
A member may be expelled by a resolution carried by the votes of not less than two-thirds of the members present in person or by proxy and voting on a poll at an annual general meeting of the FGR Trust of which notice has been duly given.
The following procedure will be adopted:
A written complaint must be made to the FGR Trust that the member has acted in a way detrimental to the interests of the FGR Trust.
Details of the complaint must be sent to the member in question not later than one calendar month before the meeting with an invitation to answer the complaint and attend the meeting.
At the meeting the members will consider the evidence in support of the complaint and such evidence as the member may wish to place before them.
If the member fails to attend the meeting without due cause the meeting may proceed in their absence.
A person expelled from membership will cease to be a member immediately following the vote at which the resolution to expel them is carried.
